Register Your One Person Company (OPC) in 5 Simple Steps
The power of a Private Limited Company — built for solo founders. Run your business solo, enjoy limited liability, and maintain complete control. No partners needed. We handle every form, filing, and follow-up — so you can focus on building your business from Day 1.
Step 1: Set Up Ownership & Management
One founder. Full control. Complete protection.
An OPC is uniquely designed for the solo entrepreneur who wants corporate credibility without sharing control.
- Shareholder: Only 1 (must be an Indian citizen and resident)
- Director: Minimum 1, maximum 15 (the sole shareholder can also be the sole director)
- Nominee: 1 mandatory nominee must be appointed (takes over in case of death or incapacity of the owner)
- Paid-up Capital: No minimum requirement
We secure the Director Identification Number (DIN), help you appoint the right nominee, and structure everything correctly from the start.
💡 Who qualifies? Only a natural person who is an Indian citizen and has been resident in India for at least 182 days in the preceding financial year can incorporate an OPC.
Step 2: Get Your OPC Registered
Make it official — all by yourself.
This is where your One Person Company comes to life. We help you:
- Choose a unique company name ending in "(OPC) Private Limited" that clears MCA guidelines
- Define your core business activities and draft the Memorandum of Association (MoA) and Articles of Association (AoA)
- Record the nominee's consent in the incorporation documents
- File everything through the government portal on your behalf
Once approved, you receive three critical documents:
|
Document |
What It Means |
|
📄 Certificate of Incorporation (COI) |
Your OPC legally exists |
|
🔢 PAN |
Your company's tax identity |
|
🔢 TAN |
Required for tax deductions |
Step 3: Commence Business Operations
You're registered — now let's get moving.
To legally start operations, you need to:
- Open a corporate bank account in the company's name
- Deposit the initial share capital as the sole shareholder
- File the 'Commencement of Business' Declaration within 180 days of incorporation
We prepare and file this declaration using your bank statement and board resolution — keeping your OPC in good standing right from the start.
Step 4: Stay Compliant with Annual Filings
Once a year, every year — no exceptions.
OPCs enjoy slightly relaxed compliance compared to Private Limited Companies — but filings are still mandatory, even with zero activity. Here's what's required every year:
- No mandatory AGM (one of the key advantages of an OPC!)
- File audited financial statements
- File the Annual Return
- Maintain statutory registers and board meeting minutes
Deadlines are tight — typically 30 to 60 days after the financial year end. We track every date and file on time, every time.
💡 OPC Advantage: Unlike Private or Public Limited Companies, an OPC is not required to hold an Annual General Meeting — saving you time and procedural overhead every year.
Documents You'll Need
Getting your documents ready upfront keeps the process smooth and fast.
