COMPREHENSIVE GUIDE TO SETTING UP YOUR BUSINESS IN THE UNITED ARAB EMIRATES
Expert Guidance for Entrepreneurs & International Investors
Introduction
The United Arab Emirates stands as one of the world's most attractive destinations for business formation — offering political stability, a tax-efficient environment, world-class infrastructure, and a strategic location at the crossroads of Europe, Asia, and Africa.
At Ashwani Singh & Associates, we provide end-to-end business setup and corporate services tailored to your unique goals. Every engagement begins with a deep-dive consultation designed to fully understand your vision before recommending a structure.
Why the UAE?
- 0% Personal Income Tax: Maximise personal wealth accumulation.
- 100% Foreign Ownership: Now available in most sectors across both Mainland and Free Zones.
- Strategic Global Hub: Unmatched connectivity to European, Asian, and African markets.
- Stable Currency: The AED is pegged to the USD, eliminating exchange rate volatility.
- Fast-Track Processing: Streamlined licensing and visa issuance for founders and employees.
Our Process
We guide you through every stage of your business journey — from initial consultation to post-incorporation compliance.
1.Understanding Your Business Vision:
We begin with a detailed consultation to understand your products/services, target customers (local UAE vs. international), office and visa requirements, capital structure, and long-term expansion goals.
2.Strategic Jurisdiction Selection:
Based on your business profile, we identify the optimal legal structure — Mainland, Free Zone, or Offshore — and explain the trade-offs of each to help you make a fully informed decision.
3.Document Preparation & Submission:
We compile all required documents, draft your Memorandum and Articles of Association (MOA/AOA), liaise with authorities, and manage the full submission and approval process on your behalf.
4.Post-Incorporation Compliance:
Our engagement continues after incorporation. We handle tax registration, VAT filings, annual renewals, audits, and all ongoing regulatory obligations to keep your business fully compliant.
Jurisdiction Overview
The UAE offers three primary business setup structures, each designed for different operational and strategic needs.
A. Mainland (Onshore) Entities
A Mainland company is licensed by the Department of Economic Development (DED). It grants the broadest commercial freedom — including the right to trade directly with the UAE public and bid for government contracts. Following landmark legal reforms, expatriates can now hold 100% ownership in a Limited Liability Company (LLC) for most commercial activities.
- Best Suited For: B2C retail, restaurants, construction, healthcare, businesses requiring UAE government contracts, and companies needing a multi-emirate physical presence.
B. Free Zone Establishments
Free Zones operate under their own regulatory authorities and offer compelling incentives: 100% foreign ownership, customs duty exemptions, and potential Corporate Tax exemptions for Qualifying Free Zone Persons. The UAE hosts over 40 Free Zones, each specialising in specific industries.
- Best Suited For: Import/export trading, technology startups, media agencies, management consulting, and businesses primarily serving international clients.
C. Offshore Structures
Offshore companies are incorporated in the UAE but are explicitly prohibited from conducting business within the country. They are primarily used as holding vehicles, for international trading, or asset protection.
- Best Suited For: Holding real estate (e.g., JAFZA Offshore for Dubai property), international invoicing, and cross-border wealth management.

Post-Incorporation Compliance & Tax Updates
Establishing your company is only the beginning. The UAE regulatory landscape has matured significantly. Our team manages all of the following to ensure full compliance:
1. Corporate Tax & The Free Zone Exemption
The UAE implemented a standard Corporate Tax rate of 9% on taxable income exceeding AED 375,000. However, Free Zone companies can qualify for a 0% rate if they achieve "Qualifying Free Zone Person" (QFZP) status.
- The 5-Year Cliff: QFZP status is strictly regulated. Under current regulations (including Ministerial Decision 229 of 2025), failing to maintain adequate substance or breaching the de minimis revenue threshold revokes your 0% status for the current year and the following four years.
2. Economic Substance Regulations (ESR) Repeal & Audits
Under Cabinet Decision No. 98 of 2024, the UAE abolished annual ESR filings for financial years ending after December 31, 2022.
- Legacy Risk: While you no longer need to file new ESR reports, the Federal Tax Authority retains a 6-year audit window for historical periods (2019–2022). We ensure your historical compliance records are audit-ready and transition your "substance" strategy smoothly into your new Corporate Tax obligations.
3. Cross-Border Considerations for Indian Investors
Operating a UAE entity from India triggers specific regulatory requirements in both jurisdictions:
- FEMA & RBI Compliance: Any investment into a UAE entity by an Indian resident must strictly adhere to the Reserve Bank of India’s Overseas Investment (OI) Rules. This requires proper routing of funds through an Authorized Dealer (AD) Bank and filing the necessary OPI or FC forms.
- Place of Effective Management (POEM): If key commercial and management decisions for your UAE company are actively made from India, the Indian Income Tax Department could classify the UAE entity as an Indian resident for tax purposes. We help structure your board governance to mitigate POEM risks.
4. General Regulatory Filings
- VAT Registration: Mandatory for businesses with taxable supplies exceeding AED 375,000 annually.
- UBO (Ultimate Beneficial Owner): Filing the mandatory beneficial owner register with the relevant authority to ensure anti-money laundering transparency.
- WPS (Wage Protection System): Setting up the mandatory payroll system to ensure timely salary disbursements.
Required Documents for Incorporation
While specific requirements vary by jurisdiction, the following represent the standard baseline. We handle all document drafting, legal translation, and government submissions.
- Clear passport copies of all shareholders and directors.
- Recent utility bill as proof of residential address (dated within 3 months).
- UAE visa page, entry stamp, and Emirates ID (if currently residing/employed in the UAE).
- Comprehensive Business Plan (primarily for Free Zone and complex setups).
- Corporate documents of any foreign shareholder entity (notarised and UAE Embassy attested).
