The Registration & Launch Roadmap
Setting up a Section 8 Company requires a specialized license from the Central Government. We manage this strict procedural timeline on your behalf.
1.Set Up Members & Management:No minimum capital required.
Build a board worthy of your mission.
We help structure a Board of Directors (Minimum 2 for private, 7 for public) and secure Director Identification Numbers (DINs) for all directors. At least one director must be an Indian resident.
Key Rule: Profit distribution is strictly prohibited. No member or director can receive dividends; all income must be applied exclusively toward your charitable objects. (Directors can, however, be paid reasonable remuneration for professional services rendered).
2.Legal Registration & Licensing:MCA and Regional Director Approvals.
Your mission gets a legal identity.
We draft a precise Memorandum & Articles of Association (MoA & AoA) defining your charitable objects. Vague objects get rejected, so we draft them with precision. We secure your unique name (which does not need to end in "Private Limited") and apply for the mandatory Section 8 Licence from the Regional Director, MCA.
Upon approval, you receive your Section 8 Licence, Certificate of Incorporation (COI), PAN, and TAN.

To receive donations, CSR funds, and government grants, we register your NGO with the Income Tax Department:
- 12A Registration: Tax exemption on the NGO's own income.
- 80G Registration: Your fundraising superpower. This allows your donors to claim a 50% tax deduction on their contributions.
- CSR-1 Registration: Mandatory for receiving corporate CSR funds.
- FCRA Registration: Enables receipt of foreign donations (applied for after 3 years, or via prior permission).

1. MCA / Companies Act
- Hold an Annual General Meeting (AGM).
- File audited financial statements and Annual Returns.
- Submit the Directors' Report.
2. Income Tax & FCRA
- File an Income Tax Return annually (mandatory even with a full 12A exemption).
- File Form 10B / 10BB (audit reports for 12A registered NGOs).
- Maintain a dedicated FCRA bank account (SBI, New Delhi Main Branch only) and file the Annual FC Return by December 31st (if FCRA registered).
